Terms and conditions

These General Terms and Conditions of Sale (hereinafter the “Terms”) are entered into between:

  • On the one hand, DeliDej BV, registered with the Chamber of Commerce (KvK) in The Hague under number 97494542, with its registered office at Frankenstraat 38, 2582SL The Hague (’s-Gravenhage), hereinafter referred to as “DeliDej”,
  • And on the other hand, any person, whether an individual or a company, visiting or making a purchase via the online sales website (Internet) or through a commercial operator, hereinafter referred to as “You”, “the customer”or “the consumer”, “the buyer”, or “Customers” in the plural.

DeliDej and its Customers together are hereinafter referred to as the “Parties.”

The terms “Product” or “lunch box” refer to the goods offered for sale on the website.

 

  1. Scope and object

The consumer declares that they have full legal capacity enabling them to enter into these Terms.

These Terms set out the entire obligations and rights of both Parties. In this respect, the consumer is deemed to accept without reservation all provisions contained herein. DeliDej undertakes, for its part, to comply with its role as seller under these same Terms.

Any order validated by the consumer on the website www.delidej.com implies prior acceptance of these Terms and does not require a handwritten signature, insofar as the consumer orders the products presented online.

By ticking the box “I accept the GTC/Terms and Conditions” before validating the order, the Customer expressly accepts these Terms automatically, without restriction or reservation. By doing so, the Customer acknowledges having read, understood, and accepted these Terms.

Purchases made by email, telephone, or postal mail also imply acceptance of these Terms, which the Customer acknowledges having previously read, understood, and accepted under the conditions set out above.

Any internet user or customer may, at any time, review the Terms on www.delidej.com or, upon the Customer’s request, by email or postal mail. DeliDej may store and/or print these Terms. The storage and printing of these Terms are the sole responsibility of the Customer. These Terms may be amended by DeliDej. In such case, the applicable Terms shall be those in force on the website at the time the consumer validates the order.

 

  1. Specific terms of sale

Delivery and distribution of the Products are only possible at the locations indicated in the “school” field of the Customer profile.

Due to the re-use of lunch boxes, consumption of the Products is intended only within the school premises.

 

  1. Access to the website

DeliDej endeavours to keep the website accessible but is under no obligation to achieve this. Access to the website may be interrupted for maintenance, updates, or any other technical reason. DeliDej shall not be liable for such temporary technical interruptions or for any consequences or inconvenience that may result for Visitors or Customers.

 

  1. Subscriptions - Orders

Orders and subscriptions are accepted exclusively online. Customers are reminded that placing an order creates an obligation to pay. The Customer also warrants that they are fully authorised to use the payment card used to pay for the order and that such means of payment provide access to sufficient funds to cover all costs resulting from the use of the website services.

 

One-off Orders:

  • The Customer places an order on the website and pays in accordance with the conditions set out in the “Payment”section.
  • Once payment of the corresponding price has been made, the order is deemed final.
  • An order confirmation email is sent to the Customer’s email address (as indicated in the profile).

 

Subscriptions:

  • The Customer submits a subscription request on the website (requested days, children concerned, type of menus, etc.).
  • An email acknowledging receipt of the subscription request is sent to the Customer’s email address (as indicated in the profile).
  • Within 24 hours, a confirmation email is sent specifying the amount of the first direct debit and the date of the first delivery.
  • A payment link for the first quarter and a direct debit authorisation are included in the email.
  • Once payment is made, the subscription becomes active.
  • Payments for subsequent quarters will be announced by email and collected by direct debit.

4.1. Specific case for lunch break childcare in the International French School (IFS) and Lycée Vincent Van Gogh Amsterdam

As supervision in these schools is mandatory during the lunch break, the Customer undertakes to make payments to DeliDej in accordance with the terms described in the “Payment” section.

 

  1. Price

Website prices are indicated in euros, all taxes included (VAT included). They apply at the time the consumer validates the order. Prices are subject to Dutch VAT in force. Any change in the legal VAT rate will be reflected in the price of the products presented on the DeliDej website, on the date stipulated by the implementing decree.

In the case of a subscription, a flat contribution of €10 (ten euros) is charged for the lunch box and for setting up the subscription.

For one-off orders, if the lunch box is not returned after consumption, a fee of €30 (thirty euros) will be charged.

 

  1. Changes or cancellation

It is possible to change or cancel a subscription or an order at any time. To do so, the Customer must contact the DeliDej team using the contact form available on the website. However, notice periods apply.

For a one-off orders :

  • The order may be cancelled or amended 5 (five) calendar days before delivery.

For a subscription:

  • The subscription may be amended 10 (ten) calendar days before delivery (e.g., a one-off absence of the child).
  • The subscription may be cancelled subject to 1 (one) calendar month’s notice.

Refunds of amounts already paid will be made within 15 (fifteen) calendar days following the request.

 

  1. Delivery - Distribution

Delivery and distribution are made during the lunch pause.

 

  1. Payment

For one-off orders, payment is made only on delidej.com by bank card via the iDeal system. Non-Dutch bank cards are therefore not accepted.

For subscriptions, payment is made by automatic direct debit (or, failing that, by bank transfer). Payment is due for the upcoming quarter. Following a subscription request, a confirmation email will specify the amount and the date of the direct debit, or at the latest the due date for the bank transfer.

Any late payment will result in the suspension of meal provision.

In the case of a specific partnership, payment may be made within a timeframe agreed with the customer, by bank transfer only.

The midday break supervision service (TSO) is payable by the parents (or legal representatives) and is paid in advance, annually (by default) or quarterly (upon request). The applicable amount and schedule are indicated on the website and/or in the registration email.

In the event of non-payment by the due date, DeliDej will send a reminder. If payment is not made, DeliDej will send a formal notice in accordance with Article 6:96(6) of the Dutch Civil Code (the “14-day letter/veertiendagenbrief”), granting the debtor at least 14 days from the day after receipt to settle the amount due.
After this period has expired, DeliDej may claim, in accordance with Dutch law: (i) the statutory interest (wettelijke rente) applicable to non-commercial transactions (consumers), and (ii) extrajudicial collection costs calculated in accordance with the Besluit vergoeding voor buitengerechtelijke incassokosten (BIK) (with a statutory minimum of €40).
Without prejudice to these rights, and subject to the rules applicable within the school, DeliDej may suspend the provision of meals and/or the service immediately until the amounts due have been paid.

 

  1. Guarantee

The Products offered comply with the Dutch legislation in force and with the standards applicable in the Netherlands.

DeliDej undertakes to ensure proper preservation of the goods during transport and storage prior to distribution.

  • Store chilled Products between +4°C and +8°C and consume them before the Use-By Date.
  • Keep delivered reheated Products in insulated containers and distribute them promptly.
  • If storage below 8°C is not possible, the Products must be consumed within 2 hours, in a storage area not exceeding +20°C.

The two-week menus are displayed on the website. However, depending on ingredient availability, DeliDej reserves the right to modify the menus without prior notice.

 

  1. Liability

DeliDej shall not be held liable for any inconvenience or damage inherent to the use of the Internet network, including service interruption, external intrusion, the presence of computer viruses, fraudulent use of a bank card, etc.

The website is released from its contractual or legal obligations in the event of force majeure that wholly or partially prevents performance of the contract. The website’s obligations are suspended for the duration of the force majeure, after which the suspended time limits start running again.

In particular, the following are considered cases of force majeure:

  • strikes beyond the control of the website or its service providers;
  • blockage of rail, road, or air networks with regard to the chosen mode of transport;
  • acts of war or terrorism;
  • bad weather conditions;
  • closure of the distribution location.

 

  1. Confidentiality - Personal data - Intellectual property

The General Data Protection Regulation (GDPR) of 25 May 2018 applies.

DeliDej has implemented measures to ensure the confidentiality of your Personal Data. We comply with all French and European regulatory and legislative provisions relating to the protection of personal data.

DeliDej applies an extremely strict policy to ensure the protection of users’ personal data:

  • Each user of our services remains in control of their data. DeliDej does not dispose of it freely.
  • Data are processed in a transparent, confidential, and secure manner.

In accordance with the European regulations in force, Users have the right to rectification (Article 16 GDPR) and the right to update and complete their data, as well as the right to restrict processing or erase personal data (Article 17 GDPR).

  1. Applicable law and competent jurisdiction

All our Contracts, as well as any disputes and claims arising directly or indirectly therefrom, shall be governed by Dutch law.
